Terms of Service

1. Acceptance of Terms

By accessing or using The Institutional Desk platform at institutional-desk.com, subscribing to any plan, or accessing any API endpoint, you agree to be bound by these Terms of Service. If you do not agree, do not use the platform.

2. Service Description

The Institutional Desk provides institutional-grade research, AAOIFI-methodology Halal screening, Halal Certificates, Purification Reports, and related data services for professional and institutional users. The platform is a research and data service — not a financial advisory service, broker-dealer, or regulated financial institution.

3. Subscription Plans

4. Payment Terms

• Subscriptions are billed in advance on a monthly or annual basis
• Payment is processed by Stripe (US/EU) or HyperPay (GCC)
• All fees are non-refundable except as required by applicable law or as stated in Section 5
• Annual subscriptions may be cancelled within 14 days of initial purchase for a full refund
• Failed payments will result in service suspension after 3 retry attempts over 7 days

5. Cancellation and Refunds

You may cancel your subscription at any time via your account settings. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused portions of a monthly subscription. Annual subscribers who cancel within 14 days of initial purchase are entitled to a full refund. After 14 days, annual subscriptions are non-refundable.

6. Acceptable Use

You agree not to:

• Redistribute, resell, or sublicense any content or data from the platform without written permission
• Use the platform to build a competing product or service
• Scrape, crawl, or systematically extract data beyond your API rate limits
• Share your account credentials with third parties
• Use the platform in violation of applicable securities laws or regulations

7. Intellectual Property

All content, research, data, Halal Certificates, Purification Reports, and methodology documentation are the intellectual property of Gottesman Investments LLC. Subscribers are granted a limited, non-exclusive, non-transferable licence to use the content for their own internal institutional purposes only.

8. API Terms

API access is subject to rate limits specified in your plan. Exceeding rate limits will result in temporary throttling. API keys must not be shared or embedded in client-side code. We reserve the right to revoke API access for abuse or violation of these Terms.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Gottesman Investments LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform or reliance on any content. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Gottesman Investments LLC from any claims, losses, or damages arising from your use of the platform in violation of these Terms or applicable law.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify subscribers of material changes via email at least 14 days before the change takes effect. Continued use of the platform after the effective date constitutes acceptance of the revised Terms.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, United States of America. Any disputes shall be resolved by binding arbitration in Miami-Dade County, Florida, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.
